How to form an LLC in South Carolina according to the State statute 33-44-202 that allows a resident to apply with an Articles of Organization for a domestic Limited Liability Company licensed to do business within the South Carolina.

Steps

  1. Choose Your LLC Name. Choose the name of your LLC. Make sure to choose something that matches the business you will be entering and also give yourself a brand. To check to make sure your LLC name has not been taken, search the South Carolina LLC Database.
  2. Download Articles of Organization. Now that you have selected the name of your company, you will need to fill in an Articles of Organization either on your computer or printed out in black ink.
    • Filing fee of $110 must be payable to the 'Secretary of State'.
    • Send Articles of Organization and filing fee to the following address: South Carolina Secretary of State’s Office, Attn: Corporate Filings 1205 Pendleton Street, Suite 525, Columbia, SC 29201.
  3. Alternatively, you can file on line at the South Carolina Business One Stop. This option allows you to pay via Visa or Mastercard.
    • Click on "Click Here" link under "Ready to Start or Login".
    • Mouse over the SOS (Secretary of State) Emblem.
    • Click "SOS Entity Registration." If you don't have a login, you will be prompted to create one. The site will guide you through the remaining steps.
  4. Wait for LLC. Now you will have to wait for your LLC to process (about 12 business days) and will be sent to the principal office's mailing address.
  5. Apply for an EIN. Chances are you will either be getting a bank account for your company, therefore you will have to be identified by the IRS through a Tax ID Number. You can apply online, free, and will only take 15 minutes to complete and be granted an instant ID number.

  • Must be at least 18 years of age.
  • Highly recommended to have an LLC operating agreement.
